HiFi Hub — Terms of Service

These Terms of Service (“Terms”) govern access to and use of the HiFi Hub platform operated by Audiophile Directory LLC ("HiFi Hub", “The Hub”, "we", "our", "us").

By accessing or using https://hifihub.ai and any related services (collectively, the “Service”), you agree to be bound by these Terms.

If you do not agree to these Terms, you may not access or use the Service.

These Terms apply to all users of the Service, including:

  • visitors and audiophiles (B2C users)
  • dealers
  • brands
  • distributors
  • subscribers to analytics products
  • any other users of the platform

1. Description of the Service

HiFi Hub is a discovery and data platform for the high-fidelity audio industry.

The Service provides:

  • product discovery tools
  • brand and dealer directories
  • distribution network visibility
  • editorial and industry content
  • analytics dashboards for merchants
  • merchant profile pages and listings

HiFi Hub does not sell audio equipment and does not act as a marketplace or intermediary for transactions.

The platform helps users discover products and merchants and may route users to third-party websites to complete purchases.

All transactions between users and merchants occur outside of the HiFi Hub platform.

HiFi Hub provides product and merchant information for discovery purposes only.

While we make reasonable efforts to maintain accurate listings, HiFi Hub does not guarantee the accuracy, completeness, availability, or timeliness of information provided by merchants, manufacturers, or other third parties.

HiFi Hub does not participate in transactions between users and merchants.

Any purchase, payment, delivery, warranty, or dispute between a user and a merchant occurs solely between those parties.

HiFi Hub is not responsible for the products, services, pricing, availability, or conduct of merchants listed on the platform.

2. User Types

B2C Users

Individuals who browse HiFi Hub to discover audio products, brands, dealers, reviews, and industry content.

B2C users may browse the platform without creating an account.

User accounts may be introduced for features such as saved items, reviews, or personalized discovery.

Users must be at least 18 years of age to create an account or use merchant features of the Service.

By using the Service, you represent that you are legally capable of entering into binding agreements.

Merchant Users (B2B)

Businesses participating in the platform, including:

  • Dealers (retailers)
  • Brands (manufacturers)
  • Distributors (regional partners)

Merchant users may access dashboards, analytics tools, and listing management features depending on their membership plan.

3. Merchant Memberships

Free Listings

Certain merchant listings may be available at no cost with limited visibility or features.

HiFi Hub reserves the right to modify or discontinue free tiers at any time.

Paid Subscriptions

Paid plans provide enhanced tools, visibility, and analytics.

Subscription features and pricing are described on the platform’s pricing pages.

A single company may hold multiple membership roles (e.g., Brand + Dealer + Distributor).

Where applicable, discounts for multiple memberships may apply as described on the pricing pages.

4. Distributor Brand Kit Activation

Distributor members may represent and activate specific brands through Brand Kit Activations.

By activating a brand, the Distributor warrants they hold the necessary rights or authorizations to represent such brand on the Platform.

Activated brands may unlock features including, but not limited to:

  • Official Distributor Badge display on brand and product pages.
  • Brand Update Posting and content management privileges.
  • Enhanced Cross-Platform Visibility within the HiFi Hub ecosystem.
  • Brand-Level Analytics: Insights derived from internal platform data.

Nature of Analytics: All insights, metrics, and data visualizations provided are estimates based on internal modeling methodologies. These represent non-audited, non-certified performance indicators and should not be used for financial reporting, legal evidence, or as guaranteed performance outcomes.

HiFi Hub reserves the right to modify its data attribution models at any time.

5. Billing and Payment

Paid subscriptions are billed according to the selected pricing plan.

Payments are securely processed by Stripe or other authorized payment processors.

By subscribing, you authorize HiFi Hub to charge your selected payment method for applicable subscription fees.

Subscriptions renew automatically unless cancelled before the renewal date.

Prices displayed on the platform do not include applicable taxes, which remain the responsibility of the merchant.

Failure to pay subscription fees may result in suspension or termination of account access.

6. Cancellation and Refunds

Merchant subscriptions may be cancelled from the merchant dashboard.

Cancellation takes effect at the end of the current billing period.

Monthly and annual subscription payments are non-refundable, except where required by applicable law or consumer protection regulations

Brand Kit Activations are annual commitments and are non-refundable once activated, except where required by applicable law.

7. Merchant Content and Listings

Merchants may submit or manage content on the platform including business profiles, logos, images, product information, events, and updates.

Merchants are responsible for ensuring that all submitted content is accurate, does not infringe intellectual property rights, and complies with applicable laws. Merchants are also responsible for ensuring that any claims regarding brand representation, authorized dealership status, distribution rights, or geographic coverage are accurate and up to date.

Data Sourcing and Accuracy HiFi Hub does not independently verify all commercial relationships between brands, distributors, and dealers. Any designation such as "authorized dealer", "official distributor", "brand partner", or similar labels may be based on information provided by the merchant or obtained from publicly available industry sources.

HiFi Hub may collect and organize publicly available product, brand, and dealer information from manufacturer websites, public catalogs, press materials, and other publicly accessible sources for the purpose of maintaining accurate industry listings and discovery tools.

Verification and Compliance Merchants must not claim to represent, distribute, or sell products from a brand unless they have the appropriate authorization or commercial relationship to do so. HiFi Hub reserves the right to request verification of such claims and may update, restrict, or remove listings that appear inaccurate, misleading, or unauthorized.

HiFi Hub reserves the right to review, modify, update, or remove listings, merchant profiles, or platform content at its discretion when necessary to maintain platform accuracy, integrity, or compliance with applicable laws. Such actions may include correcting information, removing outdated listings, or limiting visibility of content that violates these Terms.

Intellectual Property Complaints HiFi Hub respects intellectual property rights and expects users of the Service to do the same. If you believe that content on the platform infringes your copyright or intellectual property rights, you may submit a notice to: contact@hifihub.ai.

The notice should include:

  • Identification of the copyrighted work.
  • Identification of the allegedly infringing material.
  • Contact information of the complaining party.
  • A statement of good faith belief that the use is unauthorized.
  • A statement under penalty of perjury that the notice is accurate.

Licensing By submitting content to the Service, merchants grant HiFi Hub a non-exclusive, worldwide license to use, reproduce, display, and promote such content for the purpose of operating and promoting the Service. This license remains in effect while the content is displayed on the platform and ends when the merchant removes the content or closes their account, except where retention is required for legal or operational purposes.

8. Acceptable Use

Users agree not to:

  • violate any applicable law
  • attempt unauthorized access to the platform
  • interfere with platform functionality
  • upload malicious software or harmful code
  • impersonate another entity or misrepresent an affiliation
  • collect personal data about other users without consent
  • use automated tools, bots, crawlers, or scraping systems to extract data from the platform without prior written permission from HiFi Hub
  • use merchant listings, profile pages, or platform features primarily to redirect users to unrelated services, affiliate programs, or promotional content not directly related to the merchant’s legitimate business activities

HiFi Hub may investigate suspected violations and take appropriate action, including restricting access to the Service, removing content, or suspending accounts.

9. Intellectual Property

The HiFi Hub platform, including:

  • software
  • design
  • platform architecture
  • analytics systems
  • databases
  • trademarks
  • content structure

is owned by Audiophile Directory LLC or its licensors.

Users may not copy, reproduce, distribute, or reverse engineer any portion of the Service without permission.

10. Data Extraction and Competitive Use

Users may not access, collect, scrape, copy, or index any portion of the HiFi Hub platform or its databases through automated means, including bots, crawlers, or scraping tools, without prior written permission from HiFi Hub.

Users may not systematically extract or reuse platform data — including product listings, brand catalogs, dealer networks, distributor relationships, or analytics insights — for the purpose of building or contributing to a competing product, service, or dataset.

Aggregated analytics, platform insights, and structured data presented through the Service constitute proprietary information of HiFi Hub and may not be reproduced or redistributed without authorization.

Platform data may not be used to train artificial intelligence systems, machine learning models, or automated datasets without prior written permission from HiFi Hub.

11. Platform Availability

HiFi Hub makes reasonable efforts to maintain platform availability. However, we do not guarantee uninterrupted or error-free operation. The Service may be modified, suspended, or discontinued at any time.

Force Majeure

HiFi Hub shall not be liable for delays or failure in performance resulting from causes beyond its reasonable control, including, but not limited to, acts of God, acts of civil or military authorities, fire, floods, strikes, or shortages of energy or materials.

12. Third-Party Content and Links

HiFi Hub may link to third-party websites including:

  • manufacturers
  • dealers
  • distributors
  • media publications

We are not responsible for the content, products, or practices of those third parties.

13. Reviews and Editorial Content

HiFi Hub may display editorial content, professional reviews, media coverage, or aggregated review summaries related to audio products or brands.

Some of this information may be collected or aggregated from publicly available sources, including magazines, professional reviewers, and media publications.

Such content is provided for informational and discovery purposes only and does not represent an endorsement by HiFi Hub.

If HiFi Hub enables user ratings, comments, or reviews in the future, users will remain responsible for the content they submit.

HiFi Hub reserves the right to moderate, edit, or remove user-generated content that violates these Terms or applicable laws.

14. Limitation of Liability

To the maximum extent permitted by law, HiFi Hub shall not be liable for:

  • indirect or consequential damages
  • loss of profits or revenue
  • loss of data
  • errors or inaccuracies in analytics insights
  • actions of third-party merchants or websites

Total liability shall not exceed the amount paid by the user during the 12 months preceding the claim.

15. Disclaimer of Warranties

The Service is provided “as is” and “as available.”

HiFi Hub disclaims all warranties, express or implied, including warranties of merchantability or fitness for a particular purpose.

16. Indemnification

Users agree to indemnify and hold harmless HiFi Hub from claims arising from:

  • misuse of the platform
  • violation of these Terms
  • violation of intellectual property rights
  • unlawful activity conducted through the Service

17. Changes to These Terms

HiFi Hub may update these Terms periodically.

If we make material changes, we will provide notice to users or merchants, which may include email notification or a notice within the platform.

Material changes will generally become effective 30 days after notice is provided.

Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

18. Governing Law

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict of law principles.

Annex — Data Processing Agreement (DPA)

This Data Processing Agreement forms part of these Terms and applies to merchant users who process personal data through the HiFi Hub platform.

HiFi Hub acts as a data processor for certain merchant activities and processes personal data solely for the purpose of operating the platform services.

Processing activities may include:

  • merchant account authentication
  • merchant dashboard functionality
  • analytics dashboards
  • listing management
  • payment processing via Stripe
  • platform security monitoring

HiFi Hub implements appropriate technical and organizational measures including encryption, access controls, and monitoring.

HiFi Hub may use trusted service providers such as hosting providers, analytics services, and payment processors to operate the platform.

Where international data transfers occur, appropriate safeguards such as Standard Contractual Clauses (SCCs) may be used.

Upon termination of merchant services, HiFi Hub will delete or return personal data where required, except where retention is required by law.
